Advanced Access Manager | Affiliate Program

This Affiliate Program Agreement ("Agreement") is made and entered into as of the Effective Date by and between Vasyltech LLC, registered in North Carolina, US ("Company"), and the individual or entity agreeing to these terms ("Affiliate").

# 1. Enrollment in the Affiliate Program

1.1 To become an affiliate, Affiliate must submit our contact form and express an interest to become an affiliate. Approval is at the sole discretion of Company.

1.2 Company reserves the right to reject any application or terminate an affiliate's participation at any time for any reason.

# 2. Affiliate Responsibilities

2.1. Affiliate agrees to promote and market Company's digital product(s) in a lawful and ethical manner.

2.2. Affiliate must not engage in deceptive, misleading, or illegal marketing practices, including but not limited to spam, false advertising, or trademark infringement.

2.3. Affiliate is responsible for ensuring compliance with all applicable laws, including FTC disclosure requirements regarding affiliate relationships.

2.3. Affiliate is not allowed to re-sell Company's digital product(s) without obtaining written approval from the Company's managing director.

# 3. Commission Structure & Payment

3.1. Affiliate will earn a commission only on qualifying sales. A sale is considered qualifying if the customer does not request a refund within the first 60 days from the initial payment date; or customer does not request refund within 30 days from the time a subscription renewal payment posted.

3.2. Commission Rate: The affiliate program offers two distinct commission structures. Affiliates must select their preferred option before obtaining a unique referral link.

3.2.1 Option A: Affiliate earns a one-time commission of 30% on each qualifying sale generated through their unique referral link.

3.2.2 Option B: Affiliate earns a recurring commission of 15% on each active subscription generated through their unique referral link for the first two years. From year three onward, the recurring commission rate will be 10%.

3.3. Payment Schedule: Qualifying commissions will be paid monthly via PayPal.

3.4. Chargebacks & Refunds: If a referred customer requests a refund or initiates a chargeback, the commission for that transaction will be deducted from the Affiliate's balance.

# 4. Taxes & Compliance

4.1. Affiliate is responsible for all applicable taxes on commission payments.

4.2. U.S.-based affiliates earning over $600 annually must submit a Form W-9, and Company will issue a Form 1099-NEC as required by law.

4.3. Non-U.S. affiliates must submit Form W-8 BEN to certify foreign status.

# 5. Intellectual Property & Branding

5.1. Company grants Affiliate a non-exclusive, non-transferable, revocable license to use approved marketing materials.

5.2. Affiliate may not modify, alter, or create derivative works from Company's trademarks, logos, or copyrighted content without prior written permission.

# 6. Termination & Modification

6.1. Either party may terminate this Agreement any day with written notice.

6.2. Company reserves the right to modify terms, commission rates, or program rules at any time with notice to Affiliates. Continued participation constitutes acceptance of changes.

# 7. Limitation of Liability

7.1. Company will not be liable for indirect, incidental, or consequential damages arising from this Agreement.

7.2. Affiliate agrees to indemnify and hold harmless Company from any claims related to their marketing activities.

# 8. Governing Law & Dispute Resolution

8.1. This Agreement shall be governed by the laws of the State of North Carolina, US.

8.2. Any disputes arising under this Agreement shall be resolved through arbitration.

# 9. Entire Agreement

9.1. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
